Submission Terms

1. Eligibility

You must be at least 18 years old to submit. By submitting, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

2. Non-Confidentiality

Your Submission is not confidential. No confidential or fiduciary relationship is created between you and BlackBoxTV by the act of submitting, by our receipt or review of your Submission, or by any subsequent communications.

We receive a high volume of submissions. By submitting, you acknowledge that BlackBoxTV may already be developing, or may in the future develop, projects similar to or competitive with your Submission. You waive any claim that any such BBTV project was derived from, or is based on, your Submission, except to the extent that BBTV directly uses material it copied from your Submission and you can prove that copying.

3. Your Representations and Warranties

By submitting, you represent and warrant that:

• The Submission is your original work, created solely by you.
• You own all rights in the Submission, or you have obtained all rights, permissions, and releases necessary to grant the license described below.
• The Submission does not infringe any copyright, trademark, right of publicity, right of privacy, or any other right of any person or entity.
• The Submission is not defamatory, obscene, unlawful, or otherwise objectionable.
• Information you provide about yourself (name, email, etc.) is accurate.

4. License You Grant Us

You grant BlackBoxTV LLC a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the Submission, in whole or in part, in any media now known or later developed.

This license includes the right to evaluate, develop, produce, market, distribute, and exploit the Submission and any derivative works without any obligation of compensation, attribution, or accounting to you.

You retain ownership of your Submission to the extent of any rights not expressly granted above. Nothing in these Terms transfers ownership of your Submission to BlackBoxTV unless we separately enter into a written agreement saying so.

5. No Compensation

You are not entitled to any compensation, credit, royalty, or other payment in connection with your Submission, unless and until BlackBoxTV enters into a separate written agreement with you that expressly provides for compensation.

The act of submitting, and any review, response, or follow-up by BlackBoxTV, does not constitute a contract for payment.

6. No Review Guarantee

We do not guarantee that we will read, evaluate, respond to, or take any action with respect to any Submission. We are not obligated to provide feedback, status updates, or notice of any kind, including notice that your Submission was not selected. Our typical evaluation window is 6 to 8 weeks, but this is an estimate, not a commitment.

7. Independent Development

BlackBoxTV continually develops original projects and is constantly receiving ideas from many sources. You acknowledge that BlackBoxTV personnel may have written, or may in the future write or develop, material that is similar to or competitive with your Submission. You will not be entitled to any compensation or other relief because of such similarities.

8. Withdrawal

You may request that BlackBoxTV delete or stop using your Submission by emailing us at the address below. We will honor reasonable requests to delete the Submission from our active records. However, we may retain copies as required by law, for internal records, or where the Submission has already been incorporated into work product.

9. Indemnification

You agree to indemnify, defend, and hold harmless BlackBoxTV LLC, its officers, employees, agents, licensees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms,
• Your breach of any representation or warranty above, or
• Any third-party claim that your Submission infringes their rights.

10. Limitation of Liability

To the maximum extent permitted by law, BlackBoxTV LLC will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from or in connection with your Submission or these Terms, even if BBTV has been advised of the possibility of such damages.

BlackBoxTV's total cumulative liability to you for any claim related to your Submission will not exceed one hundred U.S. dollars ($100).

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising under or relating to these Terms will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

12. Updates to These Terms

We may update these Terms from time to time. The version in effect at the time you submit will govern that Submission. Updates take effect when posted to the Site.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BlackBoxTV regarding your Submission, and supersede any prior or contemporaneous communications.
